Introduction

Welcome to Devenant Entertainment SL ("we", "us" or "the Company"). These Terms of Service ("Terms") govern the use of our custom software development services. By contracting our services, you ("the Client") agree to be bound by these Terms.

Services Provided

The Company offers custom software design, development, implementation, and maintenance according to the Client's requirements. Specific service details will be set out in individual agreements.

Client Obligations

  • Provide clear and accurate information about software requirements.
  • Provide access to the necessary resources for development.
  • Comply with required approval and feedback deadlines.
  • Make payments as specified in individual agreements.

Intellectual Property

  • The Client will own the custom developed software, unless otherwise agreed.
  • The Company may retain rights over libraries, tools, or frameworks used in the development.
  • The Company reserves the right to reuse acquired technical knowledge and best practices.

Payments and Billing

  • Costs and payment terms will be determined in the corresponding agreement.
  • In case of payment delay, the Company may suspend services until the situation is regularized.

Warranties and Support

  • A limited warranty period is offered to correct technical errors.
  • Software functionality is not guaranteed in environments not specified in the agreement.
  • Support and maintenance services may require an additional contract.

Confidentiality

Both parties commit to maintaining the confidentiality of shared information. Sensitive data will not be disclosed without the express consent of the other party.

Limitation of Liability

  • The Company will not be liable for indirect damages, data loss, or lost profits arising from the use of the software.
  • The total liability of the Company shall not exceed the amount paid by the Client in the corresponding contract.

Service Termination

  • Either party may terminate the service for serious breach of obligations.
  • In case of early termination by the Client, the Client must pay the costs incurred up to that date.

Modifications to the Terms

We reserve the right to modify these Terms at any time. Modifications will take effect after their publication on our website or direct notification to the Client.

Applicable Law and Jurisdiction

These Terms are governed by the laws of Spain. Any dispute will be resolved in the courts of said jurisdiction.
